Terms of Service

These Terms of Service (the “Terms”) govern your access to and use of the GoDash website at godash.pro and the GoDashapplication, including any integration with third-party services such as QuickBooks Online (together, the “Service”). The Service is operated by [Legal entity name, e.g. Starlight Holdings LLC] (“GoDash,” “we,” “us”). By using the Service you agree to these Terms. These Terms also serve as the end-user license agreement for the Service.

1. Accounts and eligibility

You must be at least 18 years old and authorized to act on behalf of the business whose data you connect. Access to the Service is by invitation. You are responsible for keeping your sign-in credentials confidential and for all activity under your account. Tell us promptly at security@godash.pro if you believe your account has been compromised.

2. Connecting third-party services

The Service lets you connect accounting, point-of-sale and similar third-party services (each a “Connected Service”), including QuickBooks Online provided by Intuit Inc. When you connect a Connected Service you authorize GoDash to access and, where you direct it, to create or modify data in that service on your behalf, within the scope you approve. You represent that you have the authority to grant that access for the business in question.

Your use of a Connected Service is governed by that provider’s own terms and privacy policy. You may revoke GoDash’s access at any time from within GoDashor from the Connected Service (for QuickBooks Online: Apps → My Apps → Disconnect). When access is revoked we stop syncing immediately and delete stored access credentials for that connection.

3. Your data

You retain all rights to the data you provide or that we retrieve from a Connected Service on your behalf (“Customer Data”). You grant us a limited license to host, process, display and transmit Customer Data solely to provide, secure and improve the Service for you. We do not sell Customer Data and do not use it to train general-purpose machine-learning models. Our handling of personal information is described in our Privacy Policy.

4. Acceptable use

You agree not to:

• use the Service in violation of any law or of a Connected Service provider’s terms;
• connect an account or company you are not authorized to act for;
• probe, scan, overload or attempt to bypass the security of the Service;
• reverse engineer, resell or provide the Service to third parties except as we agree in writing; or
• upload malicious code or content that infringes the rights of others.

5. Automated processing and accuracy

The Service may use automated systems, including machine-learning models, to categorize transactions, extract information from documents and prepare reports. These outputs are suggestions to assist your team. You are responsible for reviewing them and for the accuracy of your books, tax filings and financial statements. GoDash does not provide accounting, tax or legal advice.

6. Availability and changes

We work to keep the Service available and may perform maintenance, release updates or change features at any time. Some functionality depends on Connected Services and may be affected by changes or outages on their side. We may suspend access to protect the Service, Customer Data or other users.

7. Fees

Fees, if any, are set out in a separate order form or agreement between you and GoDash. Where no such agreement exists the Service is provided at no charge and may be limited or withdrawn.

8. Intellectual property

The Service, including its software, design and documentation, is owned by GoDash and its licensors and is protected by intellectual-property laws. Except for the limited rights expressly granted in these Terms, no rights are granted to you. QuickBooks and QuickBooks Online are trademarks of Intuit Inc.; GoDash is not affiliated with or endorsed by Intuit.

9. Confidentiality

Each party will protect the other’s non-public information with at least reasonable care and use it only as needed to perform under these Terms.

10. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE OR ITS OUTPUTS WILL BE ACCURATE, COMPLETE OR UNINTERRUPTED.

11. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, GODASH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE OR DATA, ARISING OUT OF OR RELATED TO THE SERVICE. OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES YOU PAID US IN THE TWELVE MONTHS BEFORE THE CLAIM AND (B) US $100.

12. Indemnity

You will defend and indemnify GoDashagainst claims arising from Customer Data, your use of the Service in breach of these Terms, or your violation of law or of a Connected Service provider’s terms.

13. Termination

You may stop using the Service and disconnect your Connected Services at any time. We may terminate or suspend access for breach of these Terms or where required to protect the Service. On termination we will delete or return Customer Data as described in the Privacy Policy. Sections 3, 8–12 and 14–15 survive termination.

14. Governing law

These Terms are governed by the laws of the [State], United States, without regard to conflict-of-law rules. The state and federal courts located there have exclusive jurisdiction over any dispute, and each party consents to that jurisdiction.

15. General

These Terms are the entire agreement between you and GoDash regarding the Service and supersede prior agreements on the subject. If any provision is unenforceable the rest remain in effect. We may update these Terms; material changes will be posted on this page with a new effective date, and continued use after that date means you accept the updated Terms.
